Terms of Service

These Terms of Service ("Terms") govern the use of TokiMake ("the Service"), operated by Xross Road Inc. ("the Company"). By using the Service, the user agrees to be bound by these Terms.

Article 1 — Application

These Terms apply to all matters concerning the use of the Service between users and the Company. Supplementary rules, guidelines, and policies published by the Company in connection with the Service form part of these Terms.

Article 2 — Account Registration

Use of the Service requires registration in accordance with the Company's procedures. The Company may decline registration if the applicant has previously violated these Terms, has submitted false information, or for other reasons deemed appropriate by the Company. Users are responsible for maintaining the security of their account credentials.

Article 3 — Fees and Payment

For paid plans and paid features, users shall pay the fees specified by the Company through the payment methods designated by the Company (credit card payments via Stripe, etc.). Subscription fees are charged at sign-up and on each renewal date until cancelled. À la carte fees are charged at the time of purchase.

Article 5 — Suspension of Service

The Company may suspend or discontinue all or part of the Service in cases of system maintenance, acts of nature (earthquake, lightning, fire, etc.), or other unavoidable circumstances. The Company shall not be liable for any disadvantage or damage suffered by users or third parties as a result.

Article 6 — Intellectual Property

Copyright in works created by users on the Service shall, as a general principle, belong to the user. The Company may use such works to the extent necessary for the operation, promotion, and improvement of the Service. The Company retains all rights to the Service itself, including its software, user interface, and underlying AI models.

Article 7 — Cancellation and Termination

Users may cancel their subscription at any time before the next renewal date through the Service's settings to prevent further charges. The Company may suspend or terminate a user's account if the user violates these Terms or for other reasonable cause.

Article 8 — Disclaimer

The Service is provided "as is", and the Company makes no express or implied warranties regarding the absence of factual or legal defects, fitness for a particular purpose, or uninterrupted operation. Except in cases of willful misconduct or gross negligence on the part of the Company, the Company shall not be liable for any damages incurred by users in connection with the Service.

Article 9 — Modification of Terms

The Company may modify these Terms after providing prior notice to users when deemed necessary. Continued use of the Service after such modification constitutes acceptance of the modified Terms.

Article 10 — Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Japan. In the event of any dispute arising in connection with the Service, the court having jurisdiction over the location of the Company's head office shall have exclusive jurisdiction of first instance.
